SEED GERMINATION INSURANCE POLICY

This Seed Germination Insurance Policy (the "Policy") is an addendum to the Seed and Technology Sale Agreement ("Agreement") between the Buyer and MH Consulting LLC dba Trilogene Seeds ("Seller"), a limited liability company formed under the laws of the State of Colorado, with its principal place of business at 959 Wolf Creek Drive, Longmont, CO 80504.

1. Scope and Coverage

1.1. This Policy covers the germination of seeds purchased from the Seller, provided that the Buyer complies with all applicable terms and conditions of the Agreement and this Policy.

1.2. The cost of this Policy is $10 per seed product, which shall be paid by the Buyer at the time of purchase.

1.3. This Policy applies only to the seeds explicitly covered by the invoice and does not extend to any other products or subsequent orders unless separately insured.

2. Determination of Germination Failure

2.1. Germination failure claims will be assessed and determined solely by the Seller’s leadership team. Their determination will be final and binding.

2.2. The Buyer must provide evidence of proper handling, storage, and germination practices as per the Seller’s guidelines to support any claim under this Policy.

3. Exclusions

3.1. This Policy does not cover germination failures resulting from user error or mishandling of the seeds. Examples of user error or mishandling include, but are not limited to:

  • Incorrect planting depth
  • Inadequate watering or overwatering
  • Exposure to extreme temperatures
  • Use of non-recommended growing mediums
  • Any other actions inconsistent with the Seller's guidelines for seed germination

4. Claim Process

4.1. To initiate a claim under this Policy, the Buyer must notify the Seller within 30 days of the discovery of germination failure, providing all necessary documentation and evidence of proper handling and procedures.

4.2. The Buyer must provide a verifiable time-stamped photo to prove that germination did not happen and that correct growing conditions were met.

4.3. Upon receipt of a claim, the Seller will conduct an investigation, including but not limited to, reviewing the provided evidence and consulting with the Buyer.

4.4. If the Seller determines that the germination failure is covered under this Policy, the Seller will either replace the seeds at no additional cost to the Buyer or refund the purchase price of the seeds, at the Seller’s discretion.

5. Limitation of Liability

5.1. The Seller’s liability under this Policy is limited to the replacement of the seeds or a refund of the purchase price, as described in Section 4.4.

5.2. Under no circumstances shall the Seller be liable for any incidental, consequential, or indirect damages, including but not limited to loss of profits, arising from or in connection with the germination failure of the seeds.

6. Miscellaneous

6.1. This Policy constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings of the Parties.

6.2. The Seller reserves the right to amend this Policy at any time, with such amendments becoming effective upon notice to the Buyer.

6.3. This Policy shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of laws principles.

6.4. Any disputes arising out of or relating to this Policy shall be resolved in accordance with the dispute resolution provisions set forth in the Agreement.

By purchasing seeds and opting into this Seed Germination Insurance Policy, the Buyer acknowledges and agrees to the terms and conditions herein.
